Terms of service

1. Who we are

MS Labs is the product engine of Monolith Systems. The site at this domain (labs.monolithsystems.dev), the MS-INTAKE Self-Install Kit, the Agency License, and the Light/Full/Operations Install tiers are all operated by Monolith Systems.

2. By using the site you agree to

  • Use the site for its intended purpose (browsing, purchasing, downloading kits).
  • Not abuse the site (no scraping, no automated form submission, no DDoS).
  • Provide accurate information at checkout.
  • Comply with applicable law in your jurisdiction.

3. Self-Install Kit license ($497)

The kit is licensed for one organization. You may:

  • Deploy the kit's logic, schemas, and prompts in one organization (yours)
  • Modify the schemas, prompts, and email templates for your use
  • Train your team on the playbook

You may NOT:

  • Resell, redistribute, or republish the kit's contents (the playbook, schemas, prompts, or templates)
  • Use the kit to deploy MS-INTAKE for client agencies (that requires the Agency License)
  • Claim authorship of the kit's IP

4. Agency License ($1,997)

The Agency License lets you deploy the kit's contents for unlimited client agencies. Specifics:

  • White-label the playbook for client-facing surfaces (forms, emails, dashboards) — the customer-facing presentation is yours; the underlying IP stays MS Labs.
  • Deploy for as many clients as you sign — no per-client fee.
  • Modify schemas, prompts, and templates per client.

You may NOT:

  • Sell the kit ZIP standalone (this is a deploy-it-for-clients license, not a resell-it license).
  • Sub-license the Agency License to other agencies.
  • Train a competing AI model on the kit's contents.

5. Install tiers (Light $2,500, Full $4,500, Operations $9,500+)

The install tiers include both software (deployed for you) and services (the deployment work). Specifics:

  • You own the resulting deployment in your CRM. We don't lock the data.
  • The Monolith Workflow Engine and any custom dashboard at the Full / Operations tiers run on Monolith infrastructure during the retainer period.
  • If the retainer ends, you can either (a) self-host the workflow engine (we'll provide an export) or (b) keep it running on a discounted maintenance retainer.

Operations Install engagements are governed by the engagement contract you sign at kickoff, which supersedes general terms where they conflict.

6. Refunds

7. SLAs

For paid tiers, we commit to:

  • Email response: 1–2 business days at kit + Agency License tiers; same business day at Light + Full + Operations.
  • Install delivery: 30 days for Light, 45 days for Full, scoped per-engagement for Operations.
  • Production uptime (Full + Operations): 99.5% target on the dashboard subdomain we host. Outages over 4 hours in a calendar month credit pro-rata against the next retainer cycle.

8. Limitation of liability

To the maximum extent allowed by law, our liability under these terms is limited to the total amount you paid us in the 12 months preceding the event giving rise to the claim. We're not liable for indirect, incidental, or consequential damages.

This is a standard SaaS-and-consulting clause. If a customer wants unlimited liability or specific indemnification, that lives in a per-engagement contract — typically only at the Operations tier.

9. Warranties

The kit and software are provided "as is." We make no guarantees about specific revenue uplift, lead conversion rates, or response times beyond what's explicitly committed in the SLA section. Outcomes depend on your team's execution.

10. Termination

We can terminate access for material breach (e.g. reselling the kit, abusive behavior, payment fraud). You can stop using the site at any time. Cancellation of paid tiers is governed by the Refund Policy.

11. Governing law

These terms are governed by the laws of the United States. Disputes are resolved by binding arbitration where permitted by law, otherwise in the state and federal courts of the operator's jurisdiction.

12. Changes

We'll update these terms as the product evolves. Material changes are notified via email to active customers. Continued use after a notification constitutes acceptance.

Note: this is a v0.1 set of terms drafted in plain language for early-stage MS Labs operations. As volume grows, customers may execute superseding engagement contracts. Existing customers retain the terms in effect at purchase.
